End User License Agreement (EULA)

Davyn Payroll for Business Central

This End User License Agreement (“Agreement”) is between Davyn Ltd (“Davyn”, “we”, “us”) and the organisation or individual (“Customer”, “you”) that installs, accesses, or uses Davyn Payroll for Business Central (the “Software”).

By installing or using the Software, you agree to be bound by the terms of this Agreement.

Section 01

License Grant

Subject to the terms of this Agreement and payment of applicable subscription fees, Davyn grants you a non-exclusive, non-transferable, limited licence to:

  1. Install and use the Software within your Microsoft Dynamics 365 Business Central environment;
  2. Use the Software solely for your internal business purposes (payroll processing for your own employees or, if you are a professional services firm, for clients under a separate written agreement with Davyn);
  3. Access updates, patches, and new versions of the Software released during your active subscription period.

Section 02

Restrictions

You may not:

  1. Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Software without prior written consent from Davyn;
  2. Reverse engineer, decompile, or disassemble the Software, except to the extent permitted by applicable law;
  3. Modify the Software’s base application code (localisation extensions built using the published extension framework are permitted and encouraged);
  4. Use the Software to process payroll for entities beyond the scope of your subscription license without upgrading your plan;
  5. Remove or alter any proprietary notices, labels, or marks on the Software.

Section 03

Subscription and Fees

3.1 The Software is provided on a subscription basis. Your subscription tier and applicable fees are defined in your Order Form or the pricing page at https://davyntt.com/davyn-payroll-for-business-central/

3.2 Subscriptions are billed in advance on the frequency specified in your Order Form (monthly or annually).

3.3 You must maintain an active subscription to use the Software. Upon expiry or cancellation, you retain access to your data within Business Central, but the Software functionality will be disabled.

Section 04

Cancellation and Refund Policy

4.1 Annual subscriptions: You may cancel at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for unused months of an annual subscription, except where required by applicable law.

4.2 Monthly subscriptions: You may cancel at any time. Cancellation takes effect at the end of the current monthly billing period.

4.3 30-day money-back guarantee: If you cancel within 30 days of your first subscription payment and have not processed a live payroll run, you are entitled to a full refund. Contact finance@davyntt.com to request a refund.

4.4 Refunds will not be issued for cancellations made after 30 days, or where a live payroll batch has been posted to the general ledger.

Section 05

Data and Privacy

5.1 All payroll data processed through the Software is stored within your Business Central tenant. Davyn does not access, transmit, or retain your payroll data.

5.2 The processing of personal data through the Software is governed by the Davyn Payroll Privacy Policy at https://davyntt.com/privacy/privacy-policy-davyn-payroll-for-business-central/.

5.3 You are the data controller for all personal data processed through the Software. Davyn is a data processor solely through the provision of the Software code.

Section 06

Support and Updates

6.1 During an active subscription, you are entitled to technical support as described at https://davyntt.com/support/bc-payroll.

6.2 Davyn will provide updates and new versions of the Software during your subscription period. Updates will be made available through Microsoft AppSource and the Business Central Extension Management module.

6.3 Davyn reserves the right to modify or discontinue features with reasonable notice. Material changes that reduce core functionality will be communicated at least 60 days in advance.

Section 07

Intellectual Property

The Software, including all code, documentation, and associated materials, is and remains the intellectual property of Davyn Ltd. This Agreement does not grant you any ownership rights in the Software.

Section 08

Disclaimer of Warranties

THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, DAVYN DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Davyn does not warrant that the Software will be error-free, uninterrupted, or free of security vulnerabilities, or that it will meet all of your specific payroll compliance requirements in every jurisdiction. You are responsible for validating that the Software’s calculations comply with the applicable laws and regulations in your jurisdiction.

Section 09

Limitation of Liability

9.1 TO THE MAXIMUM EXTENT PERMITTED BY LAW, DAVYN’S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THIS AGREEMENT SHALL NOT EXCEED THE TOTAL SUBSCRIPTION FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM.

9.2 IN NO EVENT SHALL DAVYN BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF DATA, OR BUSINESS INTERRUPTION, EVEN IF DAVYN HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Section 10

Microsoft Marketplace Terms

You acknowledge that the Software is distributed through Microsoft AppSource and that Microsoft’s Marketplace terms and conditions apply to your acquisition of the Software through that channel. In the event of any conflict between this Agreement and Microsoft’s Marketplace terms, Microsoft’s Marketplace terms shall govern with respect to the distribution channel only.

Section 11

Governing Law

This Agreement shall be governed by the laws of Trinidad and Tobago. Disputes shall be resolved in the courts of Trinidad and Tobago.

Section 12

Changes to This Agreement

Davyn may update this Agreement from time to time. Material changes will be communicated to registered customers at least 30 days before taking effect. Continued use of the Software after the effective date constitutes acceptance of the revised Agreement.
